These Terms and Conditions, together with the SLA (Service Level Agreement where applicable) and the Clients written acceptance, are the only Terms and Conditions upon which the Consultant is prepared to deal with the Client and they shall govern the contract to the entire exclusion of any other terms and conditions whatsoever.
The Consultant shall only be bound by any addition to or variation from these Terms and Conditions which is expressly approved in writing by a Director of the Consultant .
Having regard to the resources available to the Consultant and the nature of the work undertaken by the Consultant these Terms and Conditions are considered and accepted by the Client as being fair and reasonable in all the circumstances.
We are doing our best to build and prepare the content of mobile app/web development/custom software. However, GNProbo cannot guarantee the expressions and suggestions of the contents, as well as its accuracy. In addition, to the extent permitted by the law, GNProbo shall not be responsible for any losses and/or damages due to the usage of the information on these services.

Refund -
The advance amount cannot be refundable.
After compilation of 50% of the project any amount would not be refunded.
Note - amount of work is calculated on the basis of mail requirement provided by the client/customer with confirmation at the first requirement mail.

GNProbo is not affiliated with or has any special relationship with any search engine, including Google, Yahoo, Bing, etc.
We cannot guarantee any specific search engine rankings, listings on search engines or directories listings. We do not manipulate or control search engine results. Due to ever-changing search engine algorithms, the process of ranking can take anywhere from a few months to a year before showing any significant results. Your ranking will fluctuate, as the ranking algorithms are constantly being tweaked to deliver the best product to consumers.
Through our SEO services PM works towards increasing targeted traffic to the customer’s website over a period of time using Search Engine Marketing (SEM) strategies and other strategies as agreed to by the client. Some of these services could include, but are not limited to: keyword research, meta tag optimization, link optimization, image optimization, social media marketing, XML sitemap creation, inbound links, submitting website to general and vertical directories, utilization of Google products: Search Console and Google Analytics and more.
SEO is a constantly changing industry and it is impossible for any business or organization to guarantee high rankings for a website or webpage. Be wary of SEO services companies or organizations that promise or guarantee specific rankings in search engines. Google explicitly warns against companies that make such promises.

You retain ownership of your intellectual property used in the campaigns. We retain ownership of any materials we create specifically for your campaigns unless otherwise agreed upon in writing.
We collaborate with clients to develop their script ideas. However, the final script and its success depend on various factors beyond our control, including production, acting, directing, and audience preferences. We cannot guarantee the commercial viability or critical acclaim of the final product.
You are responsible for ensuring the originality of your script idea and for obtaining any necessary rights clearances (e.g. underlying rights to existing works). We will not be liable for any copyright infringement claims arising from your concept.
We provide feedback and revisions based on our expertise. The final creative decisions and direction of the script remain with you.
A separate Service Agreement will detail the specific script writing services, project scope, timelines, fees, and payment terms.

While we strive to create comprehensive project plans, the ultimate success of your project depends on various factors beyond our control, including execution, team performance, and external influences. We cannot guarantee project completion on time, within budget, or to exact specifications.
The accuracy and completeness of the project plan rely heavily on your input and participation. You are responsible for providing clear goals, accurate information, and timely decisions throughout the planning process.
Our project plans may include assumptions and estimates based on the information you provide. We will not be liable for inaccuracies arising from incomplete or incorrect client information.
Service Agreement: A separate Service Agreement will detail the specific project planning services, project scope, deliverables (e.g., project schedule, resource allocation plan), timelines, and fees.
Client Responsibilities: You are responsible for providing relevant project information, assigning qualified personnel, and making timely decisions. You are also responsible for reviewing and approving the final project plan.
Changes and Revisions: Changes to the project scope or requirements after the initial plan is completed may incur additional fees. Revisions to the project plan based on your feedback are typically included within the initial scope.
Ownership: The project plan is considered your intellectual property. We may retain ownership of any templates or methodologies used in the planning process unless otherwise agreed upon.
Confidentiality: We will maintain the confidentiality of your non-public project information. You agree to do the same for any confidential materials we provide.
Termination: Either party may terminate the agreement with written notice for cause (e.g., breach of contract).
Provide Information: Client agrees to provide Designer with all necessary information and materials related to the project in a timely manner. This includes, but is not limited to, brand guidelines, target audience information, and desired style preferences.
Feedback: Client agrees to provide clear and constructive feedback on design concepts and revisions.
Approval: Client's written approval is required for all design concepts and revisions before Designer proceeds.
Design Services: Designer agrees to use their professional skills and expertise to create high-quality graphic and logo designs as outlined in the SOW.
Revisions: Designer agrees to provide a limited number of revisions as outlined in the SOW. Additional revisions may be subject to additional fees.
Communication: Designer agrees to communicate with Client regularly throughout the project to ensure their satisfaction.
Initial Concepts: Designer retains ownership of all initial design concepts and drafts that are not chosen by Client.
Final Design: Upon full payment by Client, ownership of the final design and all associated copyrights will be transferred to Client.
Portfolio Rights: Designer reserves the right to use the final design for portfolio purposes and marketing materials unless otherwise agreed upon in writing.
If you have already confirmed or approved the acceptance of a design, we cannot provide a refund. Your approval represents an acceptance of the final project and serves as an implicit statement of satisfaction.
If you have failed to communicate with us for more than 7 days, any refunds will be at the discretion of Logo Design Team management.
If the company for whom the design was performed should close, change its name, or undergo other alterations rendering a design ill fitting, we cannot issue a refund.
Once you have taken final delivery any refund would not be possible.
Domain Ownership: Client warrants that they have the legal right to obtain an SSL certificate for the domain(s) they are requesting.
Server Configuration: Client is responsible for ensuring their server is properly configured to accept and utilize the SSL certificate. Providers may offer assistance with configuration for an additional fee.
Accurate Information: Client agrees to provide accurate and complete information during the SSL Certificate application process.
Certificate Issuance: Provider will facilitate the issuance of a valid SSL certificate from a reputable Certificate Authority (CA) based on Client's chosen validation level.
Technical Support: Provider will provide basic technical support related to SSL certificate installation and troubleshooting.
Security: Provider will maintain appropriate security measures to protect Client information.
Renewal: Client has the option to renew the SSL certificate at the end of the validity period for an additional fee.
The SSL certificate remains the property of the issuing CA.
REFUND:
Refunds and cancellations for SSL services are not applicable
The Services include, but are not limited to:
Provision of a dedicated portion of a physical server with allocated resources (CPU, RAM, storage)
Root access to the VPS for full administrative control
Operating system installation options
Network connectivity and bandwidth allocation
Control panel for server management
Technical support
Acceptable Use Policy: Client agrees to comply with Provider's Acceptable Use Policy (AUP), which outlines prohibited activities on the VPS.
Data Backups: Client is responsible for regularly backing up their data stored on the VPS. Provider is not responsible for data loss.
Software Licenses: Client is responsible for obtaining any necessary licenses for software they install on the VPS.
Security: Client is responsible for maintaining the security of their VPS, including keeping software updated and using strong passwords.
Server Uptime: Provider will strive to maintain a high level of server uptime (outlined Service Level Agreement - SLA, if applicable).
Network Connectivity: Provider will provide reliable network connectivity with the allocated bandwidth.
Technical Support: Provider will offer technical support via [list support channels, e.g., email, ticketing system] to assist with VPS related issues. The scope of support may be limited (details outlined in available documentation).
Security Measures: Provider will implement security measures to protect the server infrastructure.
Refunds and cancellations for VPS/RDS services are not applicable.

Refund :-
For this facility, an advance amount will have to be paid which will be valid only for one month (or whatever you want).
The per month rental amount will have to be deposited in advance so that the company can extend the period of the tools.

Appointment Setting: Scheduling appointments for Client's sales team with qualified leads.
Customer Service Support: Providing basic customer service support to existing customers via phone.
Compliance: Client agrees to ensure their telemarketing activities comply with all applicable laws and regulations, including the Telephone Consumer Protection Act (TCPA).
Call Scripts and Targeting: Client is responsible for providing approved call scripts and targeting criteria for outbound campaigns.
Training Materials: Clients may provide additional training materials to familiarize
Payment: Client agrees to pay the fees for the Services as outlined in the Service Order.
Call Recording and Monitoring: Provider may record calls for quality assurance and training purposes. Clients may request access to recordings upon written notice.
Reporting and Analytics: Provider will provide Client with regular reports on campaign performance, including call volume, lead generation, and appointment setting metrics.
TCPA Compliance: Provider will ensure telecalling activities comply with TCPA regulations, including obtaining necessary consent for contacting potential customers.
Both parties agree to keep all confidential information disclosed during the course of the service confidential. This includes Client's customer lists, marketing materials, and any other sensitive information.
Refunds and cancellations for TELE CALLING services are not applicable.
